Terms & Conditions

Please read these terms carefully before engaging our services.

These Terms and Conditions govern the provision of software development, IT staffing, and related technology services by CalPar Global. By engaging our services, you agree to these terms.

1. Services

CalPar Global provides offshore software development, mobile app development, web development, e-commerce solutions, cloud services, IT staffing, UI/UX design, SEO, and digital consulting as described in individual Statements of Work (SOW).

2. Engagement Process

  • All projects begin with a discovery and scoping phase
  • A detailed SOW outlines scope, timeline, deliverables, and pricing
  • Work commences upon written acceptance and receipt of advance payment
  • Scope changes require written change requests

3. Intellectual Property

  • Custom code and deliverables are assigned to the Client upon full payment
  • CalPar Global retains rights to pre-existing code, frameworks, and tools
  • Open-source components are subject to their respective licenses

4. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary information, including business strategies, source code, customer data, and commercial terms. Confidentiality obligations survive for 3 years after termination.

5. Payment Terms

  • Standard payment terms are Net 15 for milestone-based projects
  • Staff augmentation is billed monthly in arrears
  • Late payments may incur interest at 1.5% per month
  • All prices exclude applicable taxes unless stated otherwise

6. Warranties

  • Services are performed in a professional and workmanlike manner
  • 30-day warranty on all deliverables from acceptance date
  • Bug fixes during warranty are at no additional cost

7. Limitation of Liability

Total liability shall not exceed the fees paid for the specific project. We are not liable for indirect, consequential, or incidental damages.

8. Termination

  • Either party may terminate with 30 days written notice
  • Client pays for all work completed to the termination date
  • Deliverables and data are transferred within 14 days

9. Governing Law

These terms are governed by the laws of India. Disputes shall be resolved through arbitration in Bengaluru, Karnataka.
